General Terms and Conditions of Verival Bio GmbH, Sportplatzweg 7, A-6336 Langkampfen

§ 1 Scope of application

(1) The following General Terms and Conditions (GTC) apply between Verival Bio GmbH (hereinafter referred to as Verival) and the customer in the version valid at the time of the order. Deviating agreements must be made in writing. By placing an order, the customer declares his agreement with these General Terms and Conditions and they thereby become binding.

(2) Severability clause: Should individual provisions of the GTC on which the contract is based be wholly or partially invalid due to mandatory statutory provisions, in particular those of the Austrian Consumer Protection Act (KSchG), the Austrian E-Commerce Act (ECG) or the Austrian Product Liability Act (ProdhaftG), the remaining provisions of these GTC shall remain in full force and effect.

§ 2 Offer & conclusion of contract

(1) Our offers are non-binding and subject to change. The presentation of the products in the online shop does not constitute a legally binding offer, but a non-binding online catalogue. Verival expressly reserves the right to vary the content of the respective service offer and to change it at any time.


(2) By clicking on the ‘Order with obligation to pay’ button in the order process, you place a binding order for the goods contained in the shopping basket. We can accept your order by sending an order confirmation by email (‘order confirmation’) or by dispatching the ordered goods. In the case of advance payment, the contract is concluded at the time you make the advance payment. By submitting the order, the customer assures that he/she is over 18 years of age. If it turns out that this is not the case, we are entitled to cancel the contract.

(3) Under Ordering process you can find out about the step-by-step ordering process and the integrated control mechanisms for recognising and correcting input errors. The data protection section provides you with detailed information about the storage, use and disclosure of your personal data and about your rights to information and access.

§ 3 Prices and purchase price payment

(1) Unless explicitly stated otherwise, all prices on the product overview and product detail pages are quoted in euros (for all EU countries) or in British pounds (for the UK online shop) including statutory VAT and ex works/warehouse.

(2) Unless otherwise agreed in writing, the shipping costs and any postage costs incurred will be charged to the customer additionally.

(3) Depending on the country of delivery and the total value of the order, the Seller may waive the charging of postage costs. An overview of the postage costs and the value limit for free postage can be found on the "Delivery and payment" page.

(4) Offsetting: The customer shall only be entitled to offset if its counterclaims have been legally established or authorised in writing by Verival.

(5) Writing, printing and calculation errors as well as extraordinary price changes are reserved. When transferring the total amount (calculated from the stated purchase price plus the shipping costs incurred), you can choose from the online payment methods provided on this website or select the "prepayment" payment method.

(6) For orders for which you select the payment method "prepayment", the following provisions apply:The contract is concluded by the transmission of the order confirmation, in which you are requested to pay with reference to the bank details of Verival.payments are only accepted by bank transfer. Payment is due immediately after conclusion of the contract and is to be made without deduction to the account of Verival, stating the order number in the reason for payment:

The order number must be stated as the reason for payment.

Payment is deemed to have been made when the transfer order has been verifiably issued. Delivery shall only be made expressly after receipt of payment of the total amount in the specified account. If payment is delayed, Verival is therefore entitled to withhold delivery of the ordered goods until the agreed consideration has been paid in full and to withdraw from the contract after a reasonable grace period has elapsed - without prejudice to other rights.

(7) Fehlgeschlagene Transaktionen: Sollte die Zahlung aus irgendeinem Grund nicht erfolgreich sein, behalten wir uns das Recht vor, deine Bestellung zu stornieren.

(8) Refunds:  In the event of a refund, the amount to be refunded will be credited back to your PayPal or credit card account or the amount will be credited back to the payment method originally charged.  Depending on the payment method, it may take a few days before the refund is visible on your account.

§ 4 Gift vouchers

(1) Verival gift vouchers can be used in accordance with these terms and conditions for purchases in the Verival online shop. The voucher will be sent to you by e-mail in the form of a PDF file after receipt of payment or made available via a download link. Voucher orders can only be cancelled by our customer service if the voucher has not yet been redeemed.

(2) You can pass the voucher on to another person. In this case, you undertake not to use the voucher code again or to disclose it to third parties.

(3) Vouchers must be redeemed by the end of the fifth year from the date of issue at the latest. After that, they lose their validity.

(4) Vouchers can only be used for the purchase of products sold via the Verival online shops. Vouchers can also be redeemed in instalments. If the value of the voucher exceeds the value of the goods purchased, the remaining value of the voucher is retained, is displayed online when you complete your order and can be redeemed for a further purchase by re-entering the voucher code. If the value of the voucher is not sufficient for an order, the difference can be paid using another payment method authorised by us on the same page.

(5) The payment method "prepayment" is not available for the purchase of vouchers.

(6) Cash payment, interest or subsequent crediting of the (remaining) balance of a gift voucher is excluded.

(7) Gift vouchers cannot be combined with other gift vouchers or discount codes.

(8) To redeem a voucher, enter the voucher code in the "Discount code or gift card" field on the "Check and pay" page in the checkout and then click on the field labelled "Apply".

(9) Verival accepts no liability for loss, theft, misuse or delayed transmission (e.g. due to technical difficulties) of gift vouchers.

§ 5 Terms of delivery & right of cancellation

(1) Delivery will normally be made within 7 working days of the order being received by Verival, but in any case within 30 days of the order date.

(2) Delivery will be made without exception to the address specified by you and expressly only after receipt of payment of the total amount. You are obliged to inform us of any change of address before placing a new order, but at the latest when placing a new order. In any case, you shall bear the risk of any delay in delivery of the ordered goods if the change of delivery address has not been notified in accordance with the contract. If you have not accepted the goods as agreed (default of acceptance), we shall be entitled either to store the goods on our premises, for which we may charge a storage fee of 0.1% of the gross invoice amount per calendar day or part thereof, or to store the goods at your expense and risk with an authorised tradesman.

(3) The packaging and shipping costs depend on the country of delivery. Details can be found on the delivery and payment page. The packaging and shipping costs can be adjusted to current market prices at any time. All prices and charges will be published immediately in the updated price lists on our website.

(4) Free delivery: From a certain order value (incl. VAT but excl. shipping costs) and depending on the country of delivery, we deliver the goods free of shipping costs. You can view the current order values for free delivery on the "Delivery and payment" page.

(5) Right of cancellation: If individual products are not available at the time of the order or cannot be delivered within the period specified in §4 (1) due to raw material defects or incorrect or late delivery by our suppliers, we will inform you immediately in writing or by telephone. If a subsequent or replacement delivery is not possible, we are entitled to withdraw from the contract and in this case we will inform you immediately of the unavailability and reimburse you for the consideration you have already paid.

(6) Minor or other changes to our performance or delivery obligation that are reasonable for our customers shall be deemed approved in advance. This applies in particular to deviations caused by the goods (changes in size, colour, quality, etc. of the product due to growth, weather conditions) and to products with a remaining shelf life of at least 2 months from dispatch.

§ 6 Liability for defects, warranty and compensation

(1) In the event of a defect, the statutory provisions shall apply. Verival shall not be liable for any further damages incurred by the customer as a result of the defective delivery.

(2) This exclusion of liability does not apply to damages resulting from injury to life, body or health, which are based on an intentional or negligent breach of duty by Verival or an intentional or negligent breach of duty by its legal representatives or vicarious agents.

(3) The goods must be checked by you immediately after receipt of the delivery for completeness and visible damage or product defects. If the goods received are not free of defects, Verival must be informed of this immediately, but in any case within 14 days of receipt of the goods, in writing, stating as precisely as possible the points complained about.

(4) Defective goods must be returned to Verival with sufficient postage paid and, if possible, in the original packaging. The customer shall bear the risk of damage to improperly packaged returns or loss of the same. It goes without saying that replacements can only be granted for goods returned in accordance with the contract.

(5) If a defect occurs in the delivered goods, you can initially only demand the replacement of the goods. If the replacement delivery by Verival is not possible or involves a disproportionately high effort or if the replacement delivery is delayed beyond a reasonable period, you are entitled to withdraw from the contract and demand a refund of the purchase price at your discretion.

(6) Except in cases of intent and gross negligence, the buyer expressly waives the right to assert claims for damages of any kind, in particular due to defectiveness, non-fulfilment, delay in delivery or consequential damages.

§ 7 Retention of ownership

The goods remain the property of Verival until all payment claims have been settled.

§ 8 Contract language, place of jurisdiction and applicable law

The content of the contract, all other information, customer service and complaint handling are offered and processed in German and English. Subject to mandatory statutory provisions, it is agreed that the competent court at the registered office of Verival, i.e. either the District Court of Kufstein or the Regional Court of Innsbruck, shall have jurisdiction over legal disputes. The place of fulfilment of the contract is expressly agreed to be the company headquarters in 6336 Langkampfen, Austria. Austrian law shall apply.
